IN NO EVENT SHALL VERTICOR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED ONE HUNDRED DOLLARS ($100).

If you are a California resident, you waive California Civil Code §1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, and that if known by him or her, would have materially affected his or her settlement with the debtor.”

Governing Law and Dispute Resolution

At Verticor’s or your election, all disputes, claims, or controversies arising out of or relating to these Terms and Conditions or the Site that are not resolved by mutual agreement may be resolved by binding arbitration. Unless otherwise agreed by the parties, arbitration will be held in the State of Delaware before a single arbitrator and will be conducted in accordance with the rules of a recognized arbitration body mutually agreed upon by the parties. The arbitrator's decision and award shall be final and binding. The arbitrator will not have the power to award damages in excess of the limitation on actual compensatory damages set forth in these Terms and Conditions. EACH PARTY HEREBY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LITIGATION ARISING OUT OF, UNDER, OR IN CONNECTION WITH THESE TERMS AND CONDITIONS.

Termination of the Agreement

Verticor reserves the right, in its sole discretion, to restrict, suspend, or terminate these Terms of Use and your access to all or any part of the Site or the Content, at any time and for any reason without prior notice or liability. Verticor also reserves the right to change, suspend, or discontinue all or any part of the Site or the Content at any time without prior notice or liability.

Miscellaneous
